一、李峰等诉李幸谋等房屋买卖合同纠纷再审案

Li Feng, et al. v. Li Xingmou, et al. (retrial case regarding dispute over a housing sales contract)

【裁判摘要】

尽管房屋买方与非房屋所有人之间没有订立书面的房屋买卖合同，但就房屋的买卖达成口头协议，并已完成交付，房屋所有人明知上述情况而未提出异议，如果买方有理由相信非房屋所有人行为构成表见代理，其代理行为有效，则依法应认定双方之间的房屋买卖合同成立。

[Judgment Abstract]

Although the buyer and the non-owner of a house make an oral agreement for the sale of the house without concluding a written contract, they do complete the procedures for house delivery under the acquiescence of the house owner who is clearly aware of the aforesaid situation. Under such a circumstance, if the buyer believes that the act of the non-owner is an act of apparent agency, then such act is valid and effective, and the people's court should rule that the house sales contract between the two parties is valid.

二、张俭华、徐海英诉启东市取生置业有限公司房屋买卖合同纠纷案

Zhang Jianhua and Xu Haiying v. Qidong Qusheng Real Estate Co., Ltd. (dispute over a housing sales contract)

【裁判摘要】

当事人将特定主观目的作为合同条件或成交基础并明确约定，则该特定主观目的之客观化，属于《中华人民共和国合同法》第九十四条第一款第四项的规制范围。如开发商交付的房屋与购房合同约定的方位布局相反，且无法调换，购房者可以合同目的不能实现解除合同。

[Judgment Abstract]

Where a party takes his specific subjective purpose as the contract condition or the basis for deal and makes specific agreements, the objectification of the specific subjective purpose falls within the circumstances prescribed by item 4, paragraph 1, Article 94 of the Contract Law of the People's Republic of China. If the position and the layout of the house delivered by the property developer is opposite to those specified in the housing purchase contract and the house could not be replaced, the house purchaser may terminate the contract on the ground that the purpose of the contract could not be fulfilled.

【裁判摘要】

涉“套路贷”房屋买卖合同效力的判断，不宜仅凭公证授权文书一律认定有效，要查明当事人的真实意思，对隐藏的民事法律行为的效力，综合考量依法作出判定。

[Judgment Abstract]

To identify the validity of a housing sales contract involving the “Trap Loan”, the people's courts should not determine the contract to be valid only based on the notarized deeds of authorization. Rather, the people's courts should ascertain the true intentions of the parties and make ruling on the validity of hidden civil juristic acts through comprehensive consideration in accordance with the law.
